1. Yes. You may now file delinquent annual reports online for multiple years. You must file past due reports in order to file your current annual report, and you will only be in good standing if all reports have been filed.

   The number of annual reports you owe determines how many reports you must file together.

   If you are delinquent 1 or 2 years in filing, you'll need to file them in consecutive order (2013 before filing 2014, etc.). The online system is set up to show you the oldest overdue annual report first. The data shown is from the most current annual report on file. Please modify it to reflect the individuals and information applicable at the time of the report.

   If you owe 3 or more annual reports, including the current year report, you must file ALL at the same time. The online system is set up to show you the oldest overdue report first and you will not be able to file just 1 or 2 reports - ALL must be filed together. 1. Yes. Late reports for LLCs, Corporations (Profit) and Partnerships incur a $10.00 penalty fee annually.

1. I did not receive a yellow postcard annual report reminder in the mail, what do I do?
   1. It is correct that you did not receive a postcard. BREG announced that mailing postcards would be discontinued starting in 1Q 2023 in the Fourth Quarter Hawaii Annual Business Reports Due Press Release posted on October 3, 2022. As long as you are within the quarter your annual report is due, you can file your annual report.
2. Are there other ways to be reminded to file my annual report?
   1. Yes. You may sign up to receive an email reminder. Email reminders are sent on the first business day of the quarter the annual report is due. When you file your annual report online, you can sign up for a free email reminder for the next year. If you choose to sign up during any other part of the year, a cost of $2.50 will be charged for one year of email reminders per business entity. To subscribe, visit http://m.hi.gov/mybizalerts.
3. How can I tell if I have already subscribed to receive an Annual Report Email Reminder?
   1. Please visit http://m.hi.gov/mybizalerts and login with a free eHawaii.gov account using the email you would have subscribed under. Create a free eHawaii.gov account

1. If you filed in a timely manner and made no changes then it should update the same day.
2. If you made changes or filed a delinquent report and expedited the filing, it will take 1-3 business days to update. You may pay an additional $25 fee to expedite your report. Expedited reports are processed in 1-3 business days depending on volume.
3. If you made changes, or filed a delinquent filing and did not expedite, it can take 6-8 weeks to process depending on the volume.

1. No, the annual report is not a tax filing. The business registration annual report is to update the company's information.

1. Search for your business by business name or file number. Click on your business in the search results. You will see a list of the years for which you owe annual reports.

   You can purchase a copy of your annual report in Search & Buy. If you login prior to buying a copy of your annual report in Search & Buy, the copy you purchase will be permanently available in My Dashboard under the 'Other Transactions' tab.

1. If you do not file an annual report in the quarter it is due, your business will fall out of good standing. If you do not file for two or more years your company may be involuntarily dissolved.

1. What is the State Archive Fee?
   1. In 2013, a state law (Act 88, SLH 2013) was enacted that established a fund for the preservation and long-term access of government records. The Act provides that in addition to any other fee authorized by law, a $1 state archives preservation fee is assessed for certain permanent documents. The state agency that receives the document collects the $1 fee on behalf of the State Archives. Fund revenues will be used to support long-term access to government electronic records through the State Archives.
2. Is the State Archive Fee required?
   1. It is required by law under Act 88 of 2013, there is an additional $1 State Archives fee for each filed permanent document. If your document is ultimately not accepted for registration, you may request to receive a $1 refund from the State Archives Division. Please contact the State Archives Division for information. Failure to pay the $1 State Archives fee will not affect the processing of your filing or generate any additional penalties.
3. How do I request a refund for the State Archive Fee?
   1. Because the fee is limited in application to permanent records, if your document is subsequently rejected by BREG, you may be entitled to a refund of the $1 fee.    • There are two ways to start the process from the Hawaii Business Express Welcome page at https://hbe.ehawaii.gov/BizEx.
     • First, select "Manage" and then "Annual Report". Enter your business name or file number, and select search
     • Choose the business name from the results and look for status "Rejected Needs Revision".

     • For the second way, IF you were logged in when you submitted, then login with your eHawaii.gov account and go to My Dashboard.
     • Look for the Annual Report with the status 'REJECTED BY DCCA' and click the 'View Details' button
     • Select the button next to the report with status "Rejected Needs Revision".
   • Make changes to the form as needed, review, and confirm
   • After updating your report, if more documentation is needed, you can attach up to 5 documents of 2MB each prior to re-submission.
   • You can resubmit as a guest without logging in; however, logging in allows you to track the status of your resubmission and see an approved copy in My Dashboard
   • Select 'Next' to resubmit the filing to BREG.

1. No, provided that you respond promptly to the request to resubmit. If your form expires, you will need to start over and pay for the submission.

1. After you revise your form, you will see a screen where you can upload up to 5 documents of up to 2 MB size each and these will also be attached to your submission.

1. Once you've submitted a form to BREG, if you were logged in at the time of resubmission, please visit My Dashboard and go to the My Filings tab. Find the business you submitted the form for, and then click the 'View Submitted' button. That will download the submission if there is only one, or you'll see a list of submissions and you can select the one you want. Once you have logged in, to make a change, you can search for and then select the business or reserved name (or trade name, trademark, or service mark) you'd like to change. You'll see a list of forms that you can submit, or if they are grayed out, you'll see an explanation why not (e.g., your business is not in good standing). Select the form you're interested in submitting and begin to fill it out.

Please login to Manage and select 'Change'. You'll be directed to a search screen where you can search for your reserved name and move forward from there with your desired form.

Trade Names can be renewed within 6 months prior to the expiration date.

If your trade name has expired it must be treated as a new filing.

An email is sent indicating that BREG received the filing. A second email is sent with the stamped copy attached. You should be able to check the status online in My Dashboard.
